Grant of License
A Lot Matters, LLC (“Company”) grants you a limited, non-exclusive, non-transferable, revocable license to use the ReceiptProcessor application (“Software”) solely for internal business purposes within the Company. This license is restricted to employees and authorized personnel of A Lot Matters, LLC.
Restrictions
You may not:
- Copy, distribute, sublicense, or transfer the Software to any third party
- Modify, reverse engineer, decompile, or disassemble the Software
- Use the Software for any purpose other than internal Company operations
- Remove or alter any proprietary notices or labels in the Software
Ownership
The Software is the exclusive property of A Lot Matters, LLC. All intellectual property rights, including but not limited to copyrights, patents, and trade secrets, remain with the Company. This Agreement does not convey any ownership interest in the Software.
Data Processing
The Software processes receipt images and financial transaction data solely for internal accounting purposes. Data is transmitted to QuickBooks Online (Intuit) via OAuth2 for transaction matching. See our Privacy Policy for details on data handling.
Disclaimer of Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
Limitation of Liability
IN NO EVENT SHALL A LOT MATTERS, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination
This license is effective until terminated. The Company may terminate this license at any time if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software.
Governing Law
This Agreement shall be governed by the laws of the State of Oregon, without regard to conflict of law principles.
